Terms of Use

Effective: April 2, 2026

Plain-language summary:Use Versie for lawful purposes with code you own or have rights to. The free tools have no subscription fees. Paid subscriptions are billed monthly, cancellable anytime, with data retained for 90 days after cancellation. Your code is yours. Some Versie components are open source — if you modify and redistribute them, open source obligations apply. Don’t abuse Versie’s backend services or reverse-engineer the dashboard to circumvent payment. We may suspend accounts that violate these Terms.

1.Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and Z12 Ventures LLC (“Versie,” “we,” “us”) governing your access to and use of all Versie products and services, including locally-run tools and the web dashboard at versie.co (collectively, the “Service”).

By downloading, installing, or using any part of the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2.Description of the Service

Versie provides software tools that make version control invisible for non-technical builders. The Service is offered in free and paid tiers, including locally-run tools and a hosted web dashboard at versie.co. Specific features and capabilities of each tier are described on our website and may change over time.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. For paid subscribers, we will provide at least 30 days’ notice of any discontinuation and pro-rate refunds for the remaining prepaid period.

3.Accounts and Registration

Access to the Pro Dashboard requires creating an account using GitHub OAuth. You represent that:

  • —You are at least 16 years of age
  • —The GitHub account you use for authentication is yours or you have authorization to use it
  • —The information you provide is accurate and current
  • —You will maintain the security of your account credentials and API key

Your API key is generated by Versie and stored locally in your project. You are responsible for keeping this key secure. Do not share it in public repositories, public chat, or with unauthorized parties. Treat your API key like a password — if you believe it has been compromised, revoke it immediately from the dashboard and generate a new one.

You are responsible for all activity that occurs under your account, including activity by any AI coding tool configured with your API key.

4.Acceptable Use

You agree to use the Service only in compliance with applicable law and these Terms. You specifically agree not to:

  • —Use the Service with code or repositories you do not own or do not have lawful rights to access and modify
  • —Submit false, misleading, or fabricated data to any Versie backend service, or use any Versie service endpoint for purposes other than its intended use
  • —Attempt to reverse engineer, decompile, or disassemble the proprietary portions of the Service, or attempt to circumvent subscription or access controls
  • —Probe, scan, or test the vulnerability of the Service without prior written authorization from Versie (see Security Policy for our disclosure program)
  • —Use the Service to store or process data in violation of applicable data protection laws, including processing others' personal data without lawful basis
  • —Impersonate Versie, its employees, or other users in any context
  • —Use the Service to facilitate the development of competing products that violate the open source license obligations described in Section 7
  • —Engage in any activity that disrupts, degrades, or interferes with the Service or its infrastructure

Versie operates a fair-use policy on backend service usage. Automated or programmatic abuse beyond normal product use may result in rate limiting or account suspension.

5.Payment Terms and Subscriptions

Pro Dashboard subscriptions are billed monthly through our third-party payment processor. By subscribing, you authorize charges to your payment method on a recurring monthly basis. Current pricing is listed on our website at versie.co and may change with advance notice as described below.

Cancellation and Refunds

  • —You may cancel your subscription at any time through the dashboard settings or by contacting us. Cancellation takes effect at the end of the current billing period
  • —We do not offer refunds for partial months, except (a) in the event of a Service outage exceeding 24 consecutive hours affecting core functionality, or (b) where required by applicable consumer protection law
  • —Upon cancellation, your data is retained for 90 days, after which it is permanently deleted
  • —We reserve the right to suspend or terminate access for non-payment after a reasonable grace period following a failed payment attempt

Price Changes

We will provide 30 days’ advance notice of any price increases. Price decreases take effect immediately. Any promotional or locked pricing offered at signup is honored for the duration of your continuous subscription as confirmed in your account records.

Taxes

Prices do not include applicable taxes (VAT, GST, sales tax, etc.). Applicable taxes will be calculated at checkout based on your billing address. You are responsible for all applicable taxes.

6.Intellectual Property

Your Code and Data

You retain all ownership rights to your source code, repositories, commit messages, and any content you process using the Service. Versie claims no ownership, license, or intellectual property rights in your code or data.

By using the cloud sync feature, you grant Versie a limited, non-exclusive, revocable license to store and process your project event metadata solely for the purpose of providing the Service to you. This license terminates when you delete your account.

Versie Intellectual Property

The Versie brand, logo, website design, and proprietary dashboard application are the exclusive property of Z12 Ventures LLC. Nothing in these Terms grants you any right to use the Versie name, logo, or trademarks except as necessary to describe your use of the Service (e.g., “I use Versie for version control”).

7.Open Source Licensing

Important for developers: Some Versie components are distributed under open source licenses. The locally-run server component is distributed under the GNU Affero General Public License v3.0 (AGPL-3.0). The Claude Skill is distributed under the MIT License. The proprietary web dashboard is All Rights Reserved.

AGPL-3.0 — server component

If you modify the AGPL-licensed server component and distribute it — including making it available as a network service to others — you must make your modified source code available under the AGPL-3.0 License, preserve all copyright and license notices, and make the source available to anyone who interacts with your modified version over a network.

Running the server locally for your own use does not trigger AGPL obligations. Internal use within a single organization is not considered distribution. Using the server to build your own project does not require you to open-source that project.

MIT License — Claude Skill

The Claude Skill is distributed under the MIT License. You are free to use, copy, modify, merge, publish, distribute, sublicense, and sell copies, subject to including the original copyright notice and license text.

Proprietary — web dashboard

The Versie web dashboard is proprietary software. All rights reserved. You may not copy, modify, distribute, reverse engineer, or create derivative works of the dashboard without express written permission from Z12 Ventures LLC.

8.Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION.

Versie is a version control assistance tool. While we design the Service to protect your code and make version control safer to use, we do not guarantee that:

  • —All data will be preserved in all circumstances
  • —The Service will be available 100% of the time
  • —Version control errors will be correctly diagnosed or fixed in all cases
  • —Automatic deploys triggered by the Service will succeed on your hosting platform
  • —Rollback operations will fully restore your application to a prior state

You are responsible for maintaining independent backups of your code and repositories. The Service is a tool to help you work with Git — it does not replace your own backup and recovery practices.

9.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Z12 VENTURES LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF CODE, LOSS OF GOODWILL, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

VERSIE’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR (B) $50 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in their entirety.

10.Indemnification

You agree to indemnify, defend, and hold harmless Z12 Ventures LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any law or the rights of any third party; or (c) your code, repositories, or content processed through the Service.

11.Termination

Either party may terminate these Terms at any time.

  • —You may terminate by cancelling your subscription (Pro) or simply discontinuing use (free tiers). For Pro, you will retain access through the end of your paid billing period
  • —We may suspend or terminate your account immediately and without notice if you materially breach these Terms, engage in fraudulent activity, or your actions pose a security risk. We will provide notice and an opportunity to cure non-material breaches where feasible
  • —Upon termination, your right to access the Service ceases. For Pro accounts, your data is retained for 90 days and then deleted. Free tier data (if any) is deleted within 30 days

Sections 6 (Intellectual Property), 7 (Open Source), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law) survive termination of these Terms.

12.Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Minnesota, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be subject to informal resolution: you must contact us at legal@versie.co and we will attempt to resolve the dispute within 30 days. If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS. This waiver does not apply where prohibited by applicable law.

Notwithstanding the above, consumers in the European Union retain the right to bring claims before the courts of their member state of habitual residence.

13.General Provisions

  • —Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Versie regarding the Service and supersede all prior agreements
  • —Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect
  • —Waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision
  • —Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a sale or transfer of the Versie product or its assets, with notice to you
  • —Updates: We may update these Terms with 30 days’ notice for material changes. Continued use after the effective date constitutes acceptance
